Indemnification

Upon Staticflow’s request, you agree to defend, indemnify, and hold harmless Staticflow and its affiliates, employees, contractors, officers, directors, vendors, and content providers from all liabilities, claims, and expenses (including attorneys’ fees) that arise from your misuse of the Site.

Disclaimer of Warranties

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of South Dakota without regard to conflict of law principles. If a dispute arises out of or relates to these Terms or your use of the Site, you and Staticflow agree to submit to the personal and exclusive jurisdiction of the state courts located in South Dakota.

Termination

Staticflow may terminate your access and use of the Site, at our sole discretion, for any reason and at any time, by sending a notice of termination to the email address associated with your account or by posting a notice on the Site. Upon termination, you must cease using the Site and destroy any copies of the Content that you have made. The following sections survive termination: Ownership, Restrictions on Use, Disclaimer of Warranties, Limitations of Liability, Indemnification, and General Terms.

General Terms

If any provision of these Terms is found to be invalid or unenforceable, it shall be severed from the Terms, and the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and Staticflow and govern your use of the Site, and supersede any prior agreements.
